PHOTO RELEASE

RELEASE AND INDEMNITY

Warwick Furnace Farm LLC (Farm) hereby grants permission to Photographer to enter the property located at 810 Warwick Furnace Road, Glenmoore PA 19343 (Property) during the agreed upon period for the purpose of a still photography shoot from and of the exterior of the Property and to bring onto the Property necessary photographic equipment and up to 5 photographic subjects. As between the Farm and Photographer, Photographer shall have sole rights in and to all photographs, in any form or medium, and all copies thereof, and all copyrights and other intellectual property rights therein, including the right to display, reproduce, make derivative works and otherwise exploit such photographs for private, non-commercial purposes; provided that (1) such photographs are taken within the scope of the permissions granted herein; (2) such photographs, derivative works, and their display, or other use comply with applicable law and are not presented in a manner intended to or with the effect of defaming, libeling or otherwise placing the Farm, it’s owners, principals or employees in a derogatory, disreputable, repugnant or otherwise unfavorable light. Photographer and all persons accompanying Photographer on the Property (Invitees) acknowledge that the Farm is a working farm and that hazardous conditions may arise from working conditions, activities, terrain, equipment, insects, animals and other conditions on the Farm that may result in damage or injury to person or property. Photographer and Invitees agree to indemnify, defend and hold harmless Farm, its owners, principals and employees (Indemnitees) from and against all suits, claims, liabilities, losses, costs and expenses of Photographer, Invitees, Indemnitees or any other person(s) arising from such damage or injury or otherwise from Photographer’s or Invitees’ presence or activities on the Property or in any manner from Photographer’s photographs or derivative works thereof or their display, publication, use or other exploitation, whether for profit or otherwise. Photographer represents that he/she has in force customary photographer liability insurance covering liabilities arising from Photographer’s activities on the Farm.
